Engagement and scope

Retainer services begin upon execution of a separate Service Agreement, which defines the specific scope of work, deliverables, and applicable fees. These Terms of Service govern the general relationship; the Service Agreement governs the specific engagement. In the event of conflict, the Service Agreement controls.

Payment

Retainer fees are billed monthly via Stripe on the date established in your Service Agreement. Payment is due upon billing. Overdue accounts may result in suspension of services after 7 days' written notice.

One-time setup fees

Setup fees, where applicable, are due prior to commencement of build work. Setup fees are non-refundable once work has begun.

Cancellation

Either party may cancel a retainer engagement with 30 days' written notice. You will be billed for the current month in full. Services continue through the end of the notice period.

Digital products (toolkits, downloadable files) are delivered electronically upon payment confirmation. All sales of digital products are subject to the Refund Policy at rootframe.co/refund.

We build automation systems designed to reduce no-shows, improve review collection, and streamline client communications based on industry best practices. However, we do not guarantee specific outcomes including but not limited to: specific no-show rate reductions, specific review volume increases, or specific revenue recovery amounts. Results depend on factors outside our control including your business volume, client behavior, and market conditions.

Statistics and benchmarks referenced on our website and in our tools are based on published industry research and represent averages. Your results may differ materially. We clearly flag estimates as estimates throughout our tools.

8. Intellectual property

All content on rootframe.co — including tool designs, copy, workflow architecture documentation, and marketing materials — is owned by root.frame unless otherwise noted. You may not reproduce, distribute, or create derivative works without written permission.

Your data remains yours. We do not claim ownership over any data, client records, or business information you provide to us in the course of an engagement.

9. Limitation of liability

To the maximum extent permitted by law, root.frame' total liability to you for any claim arising out of or related to these terms or our services shall not exceed the total fees you paid to us in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

10. Confidentiality

We treat your business information as confidential. We will not disclose your proprietary business data, client lists, or operational details to third parties without your consent, except as required by law or as necessary to operate the services (e.g., passing appointment data through Twilio to send SMS).

We reserve the right to terminate or suspend access to our website or services, without prior notice, for conduct that we believe violates these terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

12. Governing law and disputes

These terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any dispute arising under these terms shall be resolved in the state or federal courts located in Fulton County, Georgia, and you consent to personal jurisdiction in those courts.

We may update these terms at any time. Material changes will be communicated by updating the "last updated" date and, where appropriate, by email to active clients. Continued use of our services after changes constitutes acceptance.
